These Terms govern your access to and use of our website (https://luisant.in), software, and services, including communications via WhatsApp, email, and phone (collectively, the “Services”). By accessing or using the Services, you agree to these Terms and our Privacy Policy.

 

  • You must be at least 18 years old and capable of forming a binding contract under applicable law.
  • When you create an account, you agree to provide accurate information and keep your credentials confidential. You are responsible for activities under your account.
  • We may refuse registration, suspend, or terminate accounts for policy or legal reasons.
  • You will use the Services only for lawful business purposes and in accordance with these Terms.
  • **Prohibited uses** include: violating laws; infringing IP; sending spam or deceptive messages; introducing malware; scraping, reverse engineering, or circumventing security; exploiting bugs; or interfering with others’ use.
  • By sharing your phone number or messaging us first, you consent to receive WhatsApp messages from us. For business‑initiated and marketing messages, we obtain your opt‑in.
  • You can opt out any time by replying **“STOP” / “UNSUBSCRIBE” / “OPT OUT”**, or by blocking our number. We may still send essential service/transactional messages.
  • Message and data rates may apply from your carrier. Delivery is not guaranteed.
  • If the Services include paid features, prices, taxes, and billing cycles will be shown at checkout or in an order form/SOW. You authorize us or our payment partner to charge your selected method.
  • Unless stated otherwise, subscriptions renew automatically until canceled. You can cancel renewal at any time; access continues until the end of the current term.
  • **Taxes:** Prices may exclude taxes. You are responsible for all applicable taxes, duties, and government charges.
  • **No refunds** unless expressly stated in an order form, a statutory right applies, or we decide at our sole discretion.
  • Certain features may rely on third‑party platforms (e.g., WhatsApp Business Platform, payment gateways, analytics). Your use of those platforms is subject to their terms and policies.
  • We are not responsible for third‑party services and disclaim liability for their acts or omissions.
  • We and our licensors own all rights in the Services, including software, UI/UX, text, graphics, logos, and documentation.
  • We grant you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Services in accordance with these Terms.
  • You may not copy, modify, distribute, sell, or create derivative works except as expressly permitted.
  • **Feedback:** You grant us a worldwide, perpetual, irrevocable license to use feedback or suggestions without obligation to you.
  • You are responsible for content you submit (e.g., messages, files, business data). You represent you have the necessary rights to provide it.
  • You grant us a worldwide, non‑exclusive license to host, process, transmit, and display your content to operate and improve the Services.
  • We process personal data according to our **Privacy Policy** (see https://luisant.in/privacy or the policy you received from us).
  • Each party may access the other’s confidential information. The receiving party will use it only to perform under these Terms and will protect it with reasonable care. This duty survives termination.
  • We may change, suspend, or discontinue features (including beta features) with or without notice. We try to minimize disruptions but uptime is not guaranteed.
  • EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED **“AS IS”** AND **“AS AVAILABLE”** WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
  • We do not provide legal, tax, accounting, or professional advice. You are solely responsible for compliance with applicable laws and regulations.
  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY.
  • OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE **THREE (3) MONTHS** BEFORE THE EVENT GIVING RISE TO LIABILITY (OR INR 10,000, WHICHEVER IS LOWER).
  • You agree to defend, indemnify, and hold harmless Luisant Software Solutions, its directors, officers, employees, and agents from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your content, or your breach of these Terms.
  • These Terms remain in effect while you use the Services. We may suspend or terminate access for any breach, legal risk, or harm to others.
  • Upon termination, licenses end and you must cease all use. Sections intended to survive (e.g., IP ownership, confidentiality, disclaimers, limitations, indemnity) shall survive.
  • These Terms are governed by the laws of **India**, without regard to conflict‑of‑law principles.
  • The parties shall try to resolve disputes amicably within **30 days**. Failing that, the courts at **Salem, Tamil Nadu, India** shall have exclusive jurisdiction. Nothing limits a party’s right to urgent injunctive relief.
  • We may update these Terms from time to time. The updated date will be shown at the top. If changes materially affect your rights, we will provide notice (e.g., on the website or via WhatsApp/email). Continued use after changes means you accept the updated Terms.
  • **Entire Agreement:** These Terms and any order form/SOW are the entire agreement and supersede prior understandings.
  • **Severability:** If any provision is unenforceable, the rest remains in effect.
  • **Assignment:** You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale.
  • **No waiver:** A failure to enforce a provision is not a waiver.
  • **Notices:** We may send notices to your account email/WhatsApp or by posting on the website. You may send notices to **info@luisant.in**.
